Share Holder Disputes

The majority of businesses are structured, either as a partnership or in a corporate structure with a group of individuals working together.  Inevitably internal business relationships do not always run smoothly and as a result of this, there are occasions when the relationship can break down. Partners or directors can fall out.  Shareholders can feel marginalised or have concerns that directors are not running the company for their benefit.

When such disputes arise, it can significantly impact upon the business. We acknowledge that it is important to advise our clients quickly to resolve such disputes.

We understand the commercial and emotional impact of the breakdown in a business relationship and have a wealth of experience in assisting partnerships and companies in resolving such disputes for the benefit of the business and also those involved in it.

When a dispute is not capable of resolution in this way, either because of the urgency of the situation or simply because less formal attempts at resolution have proven unsuccessful, our team can rely on its extensive experience in bringing or defending proceedings arising out of such matters.

We can also advise on minority shareholder claims for unfair prejudice and on winding up on just and equitable grounds. We have acted for a number of Companies in restraining disaffected former employees (including obtaining injunctions where appropriate to restrain breaches of confidentiality or other restrictive covenants).

We can advise on breaches of shareholder agreements and general corporate governance issues.
